1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and Koios Digital LLC d.b.a Koios ("Koios Digital," "Koios," "we," "us," or "our") governing your access to and use of the Koios website, platform, APIs, documentation, and related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not use the Services.

2. Description of Services

Koios provides an IoT device management and PKI-as-a-Service platform. The Services may include, but are not limited to:

Issuance, management, and revocation of PKI certificates and device credentials.
IoT device enrollment, provisioning, and lifecycle management.
Secure firmware storage and over-the-air distribution.
Device log collection, monitoring, and diagnostics.
Cryptographic key generation and management.
APIs and integrations for programmatic access to the platform.

The specific features available to you depend on your subscription plan and any separate agreements between you and Koios.

3. Account Registration and Security

3.1 Account Creation

To use the Services, you must create an account and provide accurate, complete, and current information. You agree to update your account information promptly if it changes.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Koios immediately if you become aware of any unauthorized access to or use of your account.

3.3 Organization Accounts

If you create or manage an organization on the platform, you are responsible for managing access permissions for members of your organization and for ensuring that all users within your organization comply with these Terms.

4. Acceptable Use

4.1 Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms, any applicable documentation, and all applicable laws and regulations.

4.2 Prohibited Conduct

You agree not to:

Use the Services to violate any applicable local, state, national, or international law or regulation.
Attempt to gain unauthorized access to the Services, other accounts, computer systems, or networks connected to the Services.
Interfere with or disrupt the integrity, performance, or availability of the Services or the data contained therein.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services, except to the extent expressly permitted by applicable law.
Use the Services to transmit malware, viruses, or any other malicious code.
Resell, sublicense, or redistribute the Services to third parties without prior written consent from Koios.
Use the Services to infringe upon the intellectual property rights of any third party.
Circumvent or attempt to circumvent any security features, rate limits, or access controls of the Services.
Use the Services in any manner that could damage, disable, overburden, or impair the platform.

4.3 Enforcement

Koios reserves the right to investigate and take appropriate action against any violation of this section, including suspension or termination of your account without prior notice.

5. Subscription Plans, Fees, and Payment

5.1 Plans and Pricing

Access to certain features of the Services requires a paid subscription. Details of available plans and pricing are published on our website and may be updated from time to time. Changes to pricing will not apply retroactively to the current billing period.

5.2 Payment

All fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan) unless otherwise specified. Payments are processed through Stripe. By providing payment information, you authorize Koios to charge the applicable fees to your designated payment method.

5.3 Taxes

All fees are exclusive of applicable taxes. You are responsible for any sales tax, VAT, or other taxes imposed by applicable law, except for taxes based on Koios's net income.

5.4 Late Payment and Non-Payment

If payment fails or is not received by the due date, Koios may suspend access to the Services until payment is received. Continued non-payment may result in termination of your account.

5.5 Refunds

Fees are non-refundable except where required by applicable law or as otherwise stated in a separate agreement.

6. Intellectual Property

6.1 Koios Property

The Services, including all software, APIs, documentation, designs, trademarks, and other materials provided by Koios, are and remain the exclusive property of Koios Digital LLC and its licensors. These Terms do not grant you any ownership interest in the Services. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.

6.2 Customer Data

You retain all ownership rights to any data, content, firmware, certificates, or other materials you upload to or generate through the Services ("Customer Data"). By using the Services, you grant Koios a limited license to process, store, and transmit Customer Data solely as necessary to provide the Services to you.

6.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Services, Koios may use such feedback without restriction or obligation to you.

7. Data Protection and Privacy

Our collection, use, and protection of personal information is governed by our Privacy Policy. By using the Services, you acknowledge that you have read and understood the Privacy Policy.

If you process personal data of third parties (such as end users of your IoT devices) through the Services, you are responsible for ensuring that such processing complies with all applicable data protection laws, including obtaining any necessary consents.

8. Confidentiality

8.1 Definition

"Confidential Information" means any non-public information disclosed by either party to the other in connection with the Services, including technical data, business plans, API keys, cryptographic keys, and customer data.

8.2 Obligations

Each party agrees to protect the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Neither party shall disclose the other's Confidential Information to third parties except as necessary to perform under these Terms, and only to recipients bound by confidentiality obligations at least as protective as those herein.

8.3 Exclusions

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is rightfully received from a third party without restriction.

9. Service Availability and Support

9.1 Availability

Koios uses commercially reasonable efforts to maintain the availability of the Services. However, the Services are provided on an "as available" basis, and we do not guarantee uninterrupted or error-free operation. Scheduled maintenance windows will be communicated in advance where practicable.

9.2 Support

Support is provided in accordance with your subscription plan. Details of available support levels and response times are published on our website or in a separate service level agreement.

10. Limitation of Liability

10.1 Exclusion of Indirect Damages

To the maximum extent permitted by applicable law, in no event shall Koios be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with these Terms or the use of the Services, regardless of the theory of liability.

10.2 Cap on Liability

To the maximum extent permitted by applicable law, the total aggregate liability of Koios for all claims arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to Koios during the twelve (12) months immediately preceding the event giving rise to the claim.

10.3 Essential Basis

The limitations in this section reflect a reasonable allocation of risk and are an essential basis of the agreement between the parties.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by applicable law, Koios disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

Koios does not warrant that the Services will meet your specific requirements, that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

12. Indemnification

You agree to indemnify, defend, and hold harmless Koios, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any third-party claim related to Customer Data or your IoT devices and their end users.

13. Term and Termination

13.1 Term

These Terms are effective from the date you first access or use the Services and continue until terminated.

13.2 Termination by You

You may terminate your account at any time by contacting us or through the account settings in the platform. Termination does not entitle you to a refund of any prepaid fees.

13.3 Termination by Koios

Koios may suspend or terminate your access to the Services at any time, with or without cause, upon reasonable notice. In the event of a material breach of these Terms, Koios may terminate immediately without notice.

13.4 Effect of Termination

Upon termination, your right to use the Services ceases immediately. Koios will make Customer Data available for export for a period of thirty (30) days following termination, after which it may be permanently deleted. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Disclaimer of Warranties, Indemnification, and Governing Law) shall survive.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

14.2 Dispute Resolution

Any dispute arising out of or relating to these Terms must first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or the courts of competent jurisdiction in the Commonwealth of Virginia.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable order forms or service level agreements, constitute the entire agreement between you and Koios regarding the Services and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.3 Waiver

The failure of Koios to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without the prior written consent of Koios. Koios may assign these Terms without restriction.

15.5 Force Majeure

Koios shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or infrastructure failures, or pandemics.
